Dear sir , As The Bangchak Petroleum Public Company Limited held its 2002 Annual General Shareholders Meeting on Thursday, April 25, 2002 at 1.30 p.m. at the Meeting Room of Bangchak's Head Office, 210 Sukhumvit 64 Road, Phrakanong, Bangkok. We wish to inform the resolutions of this meeting as follow : 1.Certify the Minutes of the Extraordinary Shareholders Meeting No. 1/2001. 2.Acknowledge the Report on Company's operating performance in 2001. 3.Approve the Balance Sheet, the Statement of Income for the year ended December 31, 2001 and Auditors' Report. 4.Due to the company had a loss in Retained Earnings, no dividend will be paid this year. 5.Elect 1. GENERAL TAWAT KED-UNKOON 2. MR.SOMCHAINUK ENGTRAKUL 3. MR.PRAPHAD PHODHIVORAKHUN 4. MR.ANUSORN TAMAJAI 5. MR.KUUANSUANGATIBODHI 6. MR.WIRAT IAMUAYUT To be the Company's Directors. And MR.WIRAT IAMUAYUT is the Company's Director representing of the minority shareholders. In addition, the Shareholders approve the remuneration for the Directors in compliance with the Cabinet's practice governing a state enterprise. 6.Appoint the Office of the Auditor General as the Company's auditors for the fiscal year 2002 and fix its remuneration in the amount of Baht 800,000 per annum. 7.Approve the the addition of the Company's Articles of Association as follows : " Article 3 Any other terms not stated herein, shall be governed by the provisions of the law governing public limited companies in all respects . In case the Company or its subsidiary company (a company in which a Company directly or indirectly hold shares in an amount exceeding 50 percent of the paid-up capital of the listed company) enter into a connected transaction or enter into the acquisition or disposition of assets of the company whereby the Company has a duty to comply with the requirements of the Stock Exchange of Thailand, the Company must comply with the said requirements prescribed by the Stock Exchange of Thailand. In case where this Articles of Association specifically refers or specifies the law, rule, or regulation, such law, rule, or regulation shall include the law, rule, or regulation which is amended, and the law, rule, or regulation which is subsequently enacted or issued to repeal, or replace or to apply in addition to, the former law, rule, or regulation. " 8.Approve the company's issuance of non-subordinated debentures, secured and unsecured, with maturity not exceeding 10 years in Baht currency and/or foreign currency equivalent to not over Baht 9,000 million. (If within this amount,short term debentures of not over 270 days are issued and later redeemed, it is permitted that new short-term debentures can be re-issued). The debentures are to be offered to the general public and/or as private placement and/or to foreign institution investors. The sale of such instrument can either be in one lot or in partial amounts and can be made domestically or in foreign countries. The conditions and details of debentures will be in the discretion of the Board of Directors to set forth, as deemed appropriate to the situation of the prevailing financial market.
