Notification of the exercise of BCP-W1 No.5

Subject : Notification of the exercise of Warrants (BCP-W1) No. 5 (July 2, 2007)
To : President of the Stock Exchange of Thailand
Bangchak Petroleum Public Company Limited "(the Company)" would like to
notify the exercise of Warrants procedures No. 5 for BCP-W1 as follows:
1. Exercise date : July 2, 2007
2. Exercise Period : The warrant holders wishing to exercise the warrants
shall give notification of such intention within 5 business days prior to
the Exercise Date which is on June 25 - 29, 2007 during 9.00 a.m. to 3.00
p.m..
3. Exercise price : Baht 18.00 per share
4. Exercise ratio : 1 Warrant for 1 ordinary share
5. Documents and supplementary evidence for subscription and purchase of the
Company's Shares :
5.1 a notification form, which duly and clearly completed and signed by
the warrant holder (such form can be obtained at the principal office of the
Company)
5.2 Warrant Certificate(s) which is signed by the Warrant holder or the
substitute(s) which specified by the Stock Exchange of Thailand. In case of
scripless system, the warrant holder can fill the request form to his/her broker
and the broker will request to Thailand Securities Depositary Co., Ltd. (TSD) to
withdraw the Warrant Certificate. TSD will issue the substitute(s) for the
warrant holder to use as the supplemental evidence for exercise the warrants.
5.3 The payment for the price of the shares in the amount specified in
the notification form by way of cheques, draft, bank draft or order collectible
within Bangkok area within 2 business days from the relevant exercised date
payable to the order of "The Bangchak Petroleum Public Company Limited", or
transfer cash to the Company's current account named "The Bangchak Petroleum
Public Company Limited" account number 047-6-08056-8, Krung Thai Bank Public
Company Limited, Sukhumvit 93 Branch.
The exercised warrants shall be completed when the Company has
acknowledged receipt of payment. In case of uncollectible payment, it means
the warrant holder shall intend to cancel his/her exercise warrants. The
Company shall send such warrant certificate(s) or the substitute(s) with
uncollectible cheque to the warrant holders by registered mail within 14
days from the relevant exercised date without any interest. The warrant
holders, however, are still able to exercise their warrants for the next
exercised date, except being on the last exercised date.
5.4 Evidences for subscription shares
* Thai national: Certified copy of Citizen ID card
* Foreigner: Certified copy of Passport
* Thai Juristic: Copy of Articles of Association issued by Ministry of
Commerce or authorized department not more than 30 days, and certified such
document by authorized director
* Foreign Juristic: Copy of Company Register document certified by Notary
Public not more than 3 months, and certified such document by authorized
director
6. The exercise of warrant is subject to the terms and conditions of Warrant
No.1/2006 of The Bangchak Petroleum Public Company Limited or "BCP-W1"
