TRANSLATION 1000 / 194 / 2005 September 27, 2005 Attention : President of The Stock Exchange of Thailand Subject : Information about the waiver of tender offer As PTT would disclose to the SET about the information concerning the offering of the Company's newly issued shares and convertible debentures, greater than or equivalent to 25 percent but less than 50 percent, without conducting the tender offer (Form 247-7). The detail information is as attachment. The Company would like to inform that shareholders as well as investors are be able to search the additional information about such matter from the invitation letter of attending the Extraordinary General Meeting No. 1/2005, the opinions of the Company's Board of Directors, as well as, the opinion report of the Independent Financial Advisor about the waiver of tender offer by using the resolution of the shareholder meeting, as PTT has disclosed on the Securities and Exchange Commission Office's website (www.sec.or.th) in the section of shares issuance and takeover on the title of the waiver of tender offer.
