Inform Rights of CSDR Holders

TRANSLATION 1000 / 169 / 2005 September 1, 2005 Attention : President of The Stock Exchange of Thailand Subject : Inform the Rights of the Depository Receipt in the benefit of Common Share holders. As the Board of Directors Meeting of The Bangchak Petroleum Public Company Limited No. 9/2005, held on 29th August 2005 at 18.00 hours, has agreed to propose the Extraordinary Shareholders' Meeting to approve the issuance of warrants for subscribing the common shares of the company ("Warrant"), the warrants will be name specified, in the amount not exceeding 85.5 Million units with the maturity term of not exceeding 5 years in accordance with the terms and conditions specified by the Company. The warrants will be offered to the existing shareholders whose name appears in the share register book as at the XR date, based on their respective shareholding in the ratio of 10 existing shares to 1 warrant as the Company had reported to SET. The Company would like to inform that the holders of Depository Receipt in the benefit of common share will also obtain rights for subscribing or receiving the warrants in the same ratio as the common share holders, in other words, 10 existing shares to 1 warrant. These right is pursuant with the terms of title on the rights and duties of the Depository Receipt in the benefit of Common Share, which specified that SiamDR Company Limited will grant their rights for subscribing or receiving the securities in the manner of the Company's shareholder to the Depository Receipt holders whose name appears in the DR register book as at the same closing date of the Company's share register book to obtain the rights for subscribing and receiving such securities, at the same ratio that the Company offers to the common share holders. Presently, the Company is preparing the details and other conditions of warrants. In case that the Company can finalize such terms and conditions, the Company will propose to the Shareholders' Meeting for the approval, as well as, disclose such information to the SET and other related parties immediately.
